Code of Ethics and Organizational Model

COMPUTER DESIGN S.R.L. has adopted the organization, management, and control model pursuant to Legislative Decree. 231/01.

This legislation introduced corporate liability for offenses committed – in its interest or to its advantage – by senior management and employees.

COMPUTER DESIGN S.R.L. deemed it appropriate to integrate the control system and corporate standards of conduct already in force within the Company by adopting its own organization, management, and control model pursuant to Legislative Decree 231/01. This aims to implement and maintain a formalized and clear organizational system capable of ensuring correct, transparent, and lawful conduct in the management of business and corporate activities, with particular reference to the prevention of the offenses specified in the Decree.

The adoption of the Organizational Model cannot be separated from the implementation within the corporate structure of the concept of “Ethics in business processes,” which constitutes a key factor for the development of the quality of the service offered.

Computer Design has established its own Code of Ethics to define, with clarity and transparency, the set of values that inspire the Company in achieving its objectives; compliance with this code is of primary importance for the correct functioning, reliability, reputation, and image of the Company. An ethical orientation is an essential approach for the reliability of the Company’s conduct toward customers and, more generally, toward the entire civil, economic, and social context in which the Company operates.

The Model adopted by the company is subject to constant updates and integrations in relation to the legislative interventions that have occurred over the years, which have expanded the category of predicate offenses for administrative liability under Decree 231/01.

The Model consists of a “General Part” relating to the reference legislation, the function of the Model itself, and the Supervisory Body.

The Company has also appointed the Supervisory Body, an entity tasked with monitoring, continuously and independently from senior management, the functioning and effective compliance with the Model, in order to verify that actual conduct aligns with it, as well as to identify any need for updates to the Model and formulate relevant proposals.
